BYLAWS

Article I - Name

This organization shall be called the Weber State University Student Chapter of the Association for Computing Machinery.

Article II - Purpose

The chapter is organized and will be operated exclusively for educational and scientific purposes and in furtherance thereof.

A.  To promote an increased knowledge of the science, design, development, construction, languages, and applications of modern computing machinery.

B.  To promote a greater interest in computing machinery and its applications.

C.  To provide a means of communication between persons having interest in computing machinery.

Article III - Relationship to Weber State University

This organization is formed primarily for the benefit of the students of Weber State University but membership will also be open to others meeting the requirements of Article IV. The chapter accepts responsibility to uphold the purposes and policies of the University in order to continue to benefit its members and accomplish its purpose.

Article IV - Membership

Membership in this chapter shall be open to all student and regular members of the ACM who reside in the area served by Weber State University. Non-voting affiliate membership in this chapter shall be open for a maximum for of one year to non-ACM members who are students. Affiliate member activity is limited to local affairs.

The number of affiliate members shall not exceed the number of regular members.

Article V - Officers

The officers of this chapter shall be Chairperson, Vice-Chairperson, University Liaison Officer, Secretary, Treasurer, and Webmaster. The same person may serve as Secretary and Treasurer. They must all be student members of ACM and of this chapter.

The officers shall be elected at the annual Election Meeting. They shall take office immediately after the Election Meeting and serve until the end of the next Election Meeting.

Any one member may not serve in the office of Chairperson and/or Vice-Chairperson for more than two consecutive years.

A vacancy due to resignation of the Chairperson shall be filled by the Vice-Chairperson. Other vacancies shall be filled by appointment by the remaining officers, subject to the approval of a majority of members at the next regular meeting.

Article VI - Duties of Officers

The Chairperson shall preside at all meetings of this Chapter and of its Executive Council. He/she shall represent this Chapter at all meetings with the ACM Regional Representative. He/she shall also appoint all Committees of this Chapter and Committee Chairmen, except the Chairperson of the Program Committee.

The Vice Chairperson shall assume the duties of the Chairperson in the event of the Chairperson's absence. He/she shall assume those duties of the Chairperson that are delegated to him by the chairperson. The Vice-Chairperson shall also act as Chairperson of the Program Committee.

The University Liaison Officer shall represent this Chapter at all meetings at Weber State University requiring the attendance of delegates from registered campus organizations. He/she will be responsible for communication with other student organizations on campus.

The Secretary shall keep minutes of all Chapter meetings and Executive Council Meetings. He/she shall prepare the Annual Chapter Report for presentation to the Chapter at the Election Meeting and prepare the report to the Chairperson of the ACM Committee on Student Membership and Student Chapters after each meeting. He/she shall send official notification to the Chairperson of the ACM Committee on Student Membership and Student Chapters of changes in the elected officers of the chapter. He/she shall send official notification to the Chairperson of the ACM Committee on Student Membership and Student Chapters of any changes in the chapter's bylaws.

The treasurer shall collect dues and maintain financial membership records. He/she shall make the annual report of the Chapter's finances required by the Treasurer of ACM.

Article VII - Faculty Advisor

The Faculty Advisor shall be a member of the faculty of Weber State University who is a voting member of the ACM. Ordinarily he/she will serve as Sponsor of this chapter according to the appointment rules specified in Article VIII.

He/she will be responsible for communication between this chapter and the academic units of the university. He/she will also be charged with assuring that this chapter operates according to its By-laws and the purposes and By-laws of the ACM.

Article VIII - Executive Council

The Executive Council shall consist of the present officers and the immediate past chairperson, if available, and the sponsor. The new Executive Council shall take effect immediately following the Election Meeting.

The Executive Council shall act for the Chapter in all matters except election of officers. Minutes of all Executive Council meetings shall be available for inspection by any member of this Chapter and shall be filed with the Chapter records.

With the approval of the Chapters Board Chairperson, the Student Chapters Committee chairperson appoints the Sponsor for Student Chapters.

A meeting of the Executive Council shall be called by the Chairperson upon request of any member of the Executive Council.

Article IX - Standing Committees

The Standing Committees shall be Program and Publicity Committees.

The Program Committee shall plan and arrange meetings of the Chapter in accordance with apparent membership interests and aims set forth in Article II.

The Publicity Committee shall maintain a mailing list and publish and distribute all notices and publicity of the Chapter.

Article X - Temporary Committees

The Chairman may appoint such Temporary Committees as he/she deems appropriate.

The Nominating Committee, consisting of three members of this Chapter, at least two of them who shall not be members of the Executive Council, shall be appointed by the Chapter Chairperson at least one month prior to the Election meeting. At the Election Meeting, the Nominating Committee shall present at least one nomination for each office, and other nominations shall be honored from the floor.

Article XI - Meetings

Meetings shall be held as planned by Program Committee.

     A.  The Chapter may hold meetings only in places that are open to all members of the Association.

The Election Meeting shall be a regular meeting held during the Spring term of every year. The election of officers will be held and the Secretary shall give the Annual Chapter Report.

Written notices shall be distributed to all members at least one week prior to any regular meeting.

There shall be at least six meetings each year.

Article XII - Disbursements and Dues

Disbursements from the Treasury for Chapter expenditures shall be made under authorization of the Executive Council and be included in the minutes of that meeting.

Dues shall be fixed annually by the Executive Council and shall not exceed five dollars ($5.00).

Article XIII - Amendments and Procedures

Amendments to those bylaws shall be made in the following manner:

The proposed amendment shall be read at a regularly announced meeting.

The proposed amendment shall be distributed to the membership with notice of a meeting.

Chapter and Student Chapter bylaws, and all amendments thereto must be submitted to the Executive Director. After the Executive Director has provided advice, the proposals must be approved by the Chairmen of the Chapters Board and the Constitution and Bylaws Committee. No amendment may be distributed to the chapter or student chapter members for a vote until these approvals have been obtained. The Council may, by a majority vote, cause and such changed to be void. (In accordance with National bylaw 6, section 5.)

At the meeting, the amendment shall be read again and voted upon. Two-thirds of the members present and voting shall be required to carry the amendment.

A quorum necessary for the conduct of chapter business is defined as five members.

Rulings on any point of procedure not included in these bylaws shall be made by the Chairman with the approval of the sponsor.

Article XIV - Approval of Bylaws

These Bylaws must be originally approved by two-thirds of those present at a meeting called for this purpose.

Article XV - Dissolution

In the event of dissolution of the chapter, all the assects of the chapter will be transferred to the Association unless the educational institution requires that such assets be transferred to it for the purpose within the contemplation of section 501(c) (3) of the Internal Revenue Code of 1954.
